1. Overview

These Terms of Service ("Terms") govern your access to and use of all products, services, content, and websites provided by AmPac Leadership, LLC ("Company," "we," "our," "us"), including leadership development programs, coaching, workshops, online courses, memberships, digital products, and AI-enabled tools (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

2. Eligibility

By using the Services, you represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding agreement;

  • You will not use the Services to infringe upon the rights of the Company or any third party.

If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms and that "you" in these Terms refers to both you and that organization.

3. Business Nature

AmPac Leadership, LLC operates as a leadership development, coaching, and professional training organization. We provide educational programs, workshops, coaching, online training, memberships, and related digital and AI-enabled tools designed to support growth in leadership, communications, and organizational performance.

Our Services are educational in nature and do not constitute legal, financial, tax, mental health, or medical advice.

4. Intellectual Property

All content, materials, and intellectual property provided through the Services are owned or licensed by AmPac Leadership, LLC and are protected by copyright, trademark, and other intellectual property laws. This includes, without limitation:

  • The CORE Method™ frameworks and related models;
  • Course and program content, videos, audio, slides, workbooks, templates, and handouts;
  • Logos, trademarks, service marks, and branding elements;
  • Text, graphics, images, and website content;
  • Digital downloads, AI prompts, assessments, and checklists.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal use or internal organizational use only.

You agree that you will not:

  • Copy, reproduce, distribute, or publicly display our content without prior written consent;
  • Sell, sublicense, or commercially exploit any part of the Services or content;
  • Claim authorship or ownership of the CORE Method™ or other proprietary frameworks;
  • Create derivative works from our content without written permission;
  • Use the Services to develop a competing product or service.

5. User Accounts and Security

To access certain Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information;
  • Maintain the confidentiality of your login credentials;
  • Promptly update your information as necessary;
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate any account at our sole discretion if we believe these Terms have been violated or account security has been compromised.

6. Payments and Billing

By purchasing any Service, you agree to pay all associated fees as listed at the time of purchase or as agreed in a written contract. Payments are typically processed through third-party payment processors such as Stripe or PayPal.

You authorize the Company and its payment processors to charge your selected payment method for all fees associated with the Services you purchase. You are responsible for ensuring that payment information is accurate and up to date.

If a payment is declined or fails, we may suspend or terminate your access to the Services until full payment is received.

7. Subscriptions and Memberships

Certain Services may be offered on a subscription or membership basis (for example, ongoing leadership memberships or business development memberships).

Unless otherwise stated:

  • Subscriptions automatically renew at the end of each billing period until canceled;
  • You authorize recurring charges to your payment method on file;
  • Cancellations take effect at the end of the current billing cycle;
  • No prorated refunds are issued for partial periods.

8. Use of AI-Enabled Tools

Some Services may incorporate AI-enabled assessments, tools, or automated suggestions. You acknowledge and agree that:

  • AI outputs are generated based on patterns and data and may not be fully accurate or complete;
  • AI outputs are for informational and educational purposes only;
  • AI outputs do not replace professional advice of any kind;
  • You are solely responsible for how you interpret and use AI-generated content.

9. SMS Terms & Conditions

By opting in to receive SMS messages from AmPac Leadership, LLC,

  • You consent to receive text messages related to appointments, scheduling updates, session follow-ups, and customer support. Message frequency varies. Message and data rates may apply depending on your mobile carrier.
  • You may opt out of SMS communications at any time by replying STOP. For assistance, reply HELP or contact us at [your support email or phone number].
  • You acknowledge that wireless carriers are not liable for delayed or undelivered messages.
  • You acknowledge that SMS communications are available only to individuals 18 years of age or older.

10. No Guarantees or Warranties

While our goal is to provide high-quality leadership and professional development Services, AmPac Leadership, LLC does not guarantee specific results. This includes, without limitation:

  • Job offers, promotions, or employment outcomes;
  • Business revenue, contracts, or profitability;
  • Government contract awards or procurement outcomes;
  • Any particular performance improvements or success metrics.

Your results depend on many factors, including your background, effort, implementation, and external circumstances.

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Acceptable Use

You agree that you will not:

  • Use the Services for any unlawful, abusive, or fraudulent purpose;
  • Harass, threaten, or harm the Company, its representatives, or other participants;
  • Share your account credentials or give others unauthorized access;
  • Attempt to gain unauthorized access to our systems or data;
  • Record or distribute private coaching or training sessions without express permission;
  • Upload or transmit viruses, malicious code, or other harmful technologies.

We reserve the right to suspend or terminate access to the Services for any behavior we deem disruptive, unsafe, or in violation of these Terms.

12. Third-Party Services and Links

Our Services may integrate with or reference third-party platforms and providers such as Zoom, GoHighLevel, payment processors, email service providers, and AI platforms.

AmPac Leadership, LLC is not responsible for:

  • The availability, performance, or security of third-party services;
  • The content or policies of third-party websites or platforms;
  • Any loss or damage arising from your use of third-party services.

13. Cancellation, Refunds, and Rescheduling

Refund and cancellation terms for digital products, coaching, memberships, and events are governed by our separate Refund & Cancellation Policy, which is incorporated into these Terms by reference.

14. Termination of Access

We may, at our sole discretion and without liability, suspend or terminate your access to the Services for any reason, including but not limited to:

  • Violation of these Terms;
  • Non-payment of fees;
  • Misuse of our intellectual property;
  • Abusive or harmful conduct toward the Company, its team, or other clients.

Upon termination, your right to access the Services and content immediately ceases. No refunds will be issued unless otherwise required by law or expressly stated in a written agreement.

15. Limitation of Liability

To the fullest extent permitted by law, AmPac Leadership, LLC, its owners, officers, employees, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Services.

In no event shall our total liability exceed the amount you paid to the Company for the specific Service giving rise to the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless AmPac Leadership, LLC and its owners, officers, employees, contractors, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of any rights of a third party;
  • Your misuse of our content or intellectual property.

17. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page. Your continued use of the Services after any changes are posted constitutes your acceptance of the revised Terms.

18. Governing Law

These Terms and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of such courts.
