END-USER LICENSE AGREEMENT (EULA)

1. AGREEMENT TO TERMS

This End-User License Agreement ("EULA," "License Agreement," or "Agreement") is a legal agreement between you ("Licensee," "User," "you," or "your") and Capers Consulting, LLC, a Maryland limited liability company ("Licensor," "Company," "we," "us," or "our"), governing your use of the JobHunt Pro software application.

BY INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL, ACCESS, OR USE THE SOFTWARE.

2. GRANT OF LICENSE

2.1 Limited, Non-Exclusive License

Subject to your complete compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your personal, non-commercial use.

THIS IS A LICENSE, NOT A SALE. You do not acquire any ownership interest in the Software or any intellectual property rights therein. The Company retains all right, title, and interest in and to the Software.

3. INTELLECTUAL PROPERTY OWNERSHIP

3.1 Company Ownership of Software

The Software, including all source code, object code, algorithms, architectures, data structures, interfaces, documentation, and all modifications, is and shall remain the exclusive property of Capers Consulting, LLC and is protected by U.S. and international intellectual property laws.

3.2 Proprietary Components

You specifically acknowledge that the following constitute valuable proprietary and confidential information and trade secrets:

  • Source Code and Architecture: All JavaScript, HTML, CSS, file structure, component organization, state management systems
  • Proprietary Algorithms and Logic: Specific algorithms, proprietary AI prompts/instructions for Google Gemini API, unique workflow logic
  • Database Schema and Data Models: Structure and relationships of data types, organization and storage mechanisms
  • User Interface and User Experience: Design, layout, color schemes, typography, interaction patterns, Dashboard → Search → Track → Tailor → Interview Prep workflow
  • Business Methods: Credit-based usage model, tier structure, integration of AI with job search functionality

4. RESTRICTIONS ON USE

4.1 Prohibited Actions

You expressly agree that you will NOT:

Reverse Engineering and Decompilation

  1. Reverse engineer, decompile, disassemble, or attempt to discover source code or underlying algorithms
  2. Use browser developer tools, network analyzers, or JavaScript debuggers to extract, view, copy, or analyze source code
  3. Attempt to discover or reconstruct proprietary algorithms, prompts, or trade secrets

Copying and Cloning

  1. Copy, reproduce, duplicate, or create derivative works of the Software
  2. Create any software that replicates, clones, or mimics the features, functionality, design, or UX
  3. Take screenshots or recordings for any purpose other than personal reference or support

Modification and Tampering

  1. Modify, adapt, alter, translate, or create derivative works
  2. Remove, obscure, or alter proprietary rights notices
  3. Circumvent, disable, or interfere with security features or usage limits

Distribution and Transfer

  1. Distribute, sublicense, lease, rent, loan, sell, resell, or transfer the Software
  2. Make the Software available over a network for multi-user access
  3. Disclose or make available the Software to any third party

Competitive and Commercial Use

  1. Use the Software or information obtained to develop, build, train, or improve any competing product or AI model
  2. Benchmark or evaluate the Software for competitive purposes
  3. Use AI-generated outputs to train, fine-tune, or improve any ML models or AI systems

Automated and Abusive Access

  1. Access through automated means (robots, spiders, scrapers, automated scripts)
  2. Systematically download, extract, or harvest content or data
  3. Overload or impair servers through excessive requests

Circumvention

  1. Bypass rate limiting, usage restrictions, credit systems, or technological measures
  2. Access backend systems, databases, or APIs not explicitly made available
  3. Probe, scan, or test vulnerabilities

Misuse and Illegal Activity

  1. Use for any unlawful purpose or in violation of any law
  2. Damage, disable, overburden, or impair the Software
  3. Transmit viruses, worms, malware, or destructive code

4.2 Consequences of Violation

Any violation constitutes a material breach and will result in:

  • Immediate termination of your license
  • Account termination without refund
  • Potential legal action: injunctive relief, monetary damages, attorneys' fees recovery

5. CONFIDENTIALITY

5.1 Confidential Information Defined

"Confidential Information" means any non-public information relating to the Software, including:

  • Source code, algorithms, programming techniques
  • Proprietary prompts and AI instructions
  • Database schemas, system architectures
  • Business methods, pricing strategies
  • Performance metrics, usage statistics

5.2 Obligation to Maintain Confidentiality

You agree to:

  • Hold all Confidential Information in strict confidence
  • Not disclose to any third party without prior written consent
  • Not use for any purpose other than as permitted by this EULA
  • Protect using at least reasonable care
  • Immediately notify the Company of any unauthorized use or disclosure

6. OPEN SOURCE SOFTWARE

The Software incorporates certain open source components:

  • React (MIT License)
  • Tailwind CSS (MIT License)
  • Google Generative AI SDK (@google/genai) (Apache 2.0 License)
  • Vite (MIT License)

The inclusion of open source software does NOT grant you rights to the Company's proprietary code, modifications, or unique integration.

7. THIRD-PARTY SERVICES

The Software relies on third-party services (Google Gemini API, hosting providers, payment processors). The Company is not liable for:

  • Changes in API pricing, rate limits, or terms
  • Degradation or interruption of service
  • Discontinuation of services or features
  • Changes in data processing practices

8. UPDATES AND MODIFICATIONS

The Company may provide Updates from time to time. Updates may be automatically deployed. Certain Updates may be mandatory. The Company has no obligation to provide Updates or support any particular version.

9. TERM AND TERMINATION

9.1 Term

This EULA is effective from the date you first access the Software and continues until terminated.

9.2 Termination by Company

The Company may terminate this EULA immediately if:

  • You breach any provision
  • You engage in prohibited conduct
  • Required by law
  • Necessary to protect Company's rights or business interests

9.3 Effect of Termination

Upon termination:

  • Your license immediately terminates
  • You must cease all use and delete all copies
  • Return or destroy all Confidential Information
  • Sections 3, 4, 5, 10, 11, 12, and 13 survive termination

10. DISCLAIMERS

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT:

  • The Software will meet your requirements
  • The Software will be uninterrupted, timely, secure, or error-free
  • Results will be accurate, complete, or reliable
  • Errors will be corrected
  • Use will result in employment or job interviews

AI-Generated Content Disclaimer

The Software uses AI to generate content. The Company makes NO representations regarding accuracy, reliability, completeness, or appropriateness of AI-generated content. You are solely responsible for reviewing and verifying all AI-generated content.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CAPERS CONSULTING, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
  • PERSONAL OR PROFESSIONAL HARM, INCLUDING REPUTATIONAL DAMAGE
  • FAILURE TO SECURE EMPLOYMENT OR JOB INTERVIEWS
  • DAMAGES RESULTING FROM USE OF AI-GENERATED CONTENT

Cap on Liability

THE AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • The total amount paid by you in the 12 months preceding the event; OR
  • One Hundred Dollars ($100.00)

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company Parties from all claims, liabilities, damages, losses, costs, and expenses (including attorneys' fees) arising from:

  • Your use or misuse of the Software
  • Your violation of this EULA, Terms of Service, or Privacy Policy
  • Your violation of any law or third-party right
  • Your User Content
  • Your unauthorized use, disclosure, or misappropriation of Confidential Information
  • Your violation of Section 4 restrictions

13. EXPORT CONTROL AND COMPLIANCE

The Software may be subject to U.S. export control laws. You represent and warrant that:

  • You are not located in any embargoed country
  • You are not on any U.S. government prohibited or restricted parties list
  • You will not use the Software for prohibited purposes (weapons development, etc.)

14. GENERAL PROVISIONS

Governing Law

This EULA shall be governed by the laws of the State of Maryland, without regard to conflict of laws principles.

Dispute Resolution

Disputes shall be resolved in accordance with the dispute resolution provisions in the Terms of Service (binding arbitration).

Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement.

Assignment

You may not assign this EULA without prior written consent. The Company may freely assign.

Severability

If any provision is invalid, it shall be modified or severed, and remaining provisions remain in full force.

16. ACKNOWLEDGMENT

BY CLICKING "I AGREE," INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT:

  1. You have read and understood this EULA
  2. You agree to be bound by these terms and conditions
  3. You understand this is a license, not a sale
  4. You acknowledge the Company's exclusive ownership of all IP rights
  5. You agree to all restrictions in Section 4
  6. You acknowledge all disclaimers and limitations of liability
  7. You agree to binding arbitration as provided in Terms of Service
